TERMS AND CONDITIONS FOR SENDHELP MEMBERSHIP HUB


BACKGROUND


These Terms and Conditions govern the use of the SENDHelp Membership Hub (the “Service”), provided by SENDHelp (the “Service Provider”), to individuals (the “Client”) who purchase a membership. By accessing the Membership Hub, you agree to these Terms and Conditions, so please read them carefully.


1. DEFINITIONS


In these Terms and Conditions:

‘Client’ refers to the person purchasing membership to the Membership Hub (also referred to as ‘you’).

‘Parties’ means the Client and the Service Provider collectively.

‘Party’ refers to either the Client or the Service Provider individually.

‘Service Provider’ refers to SENDHelp, the provider of the Membership Hub described here (also referred to as ‘us’ or ‘we’).

‘Services’ means the Membership Hub services, resources, and content made available to members.

‘Terms and Conditions’ refers to this document outlining the rights and responsibilities of both Parties.


2. SERVICES


2.1 Scope of Services: The SENDHelp Membership Hub provides access to a variety of resources, templates, guides, and other content intended to support self-advocacy in the Special Educational Needs and Disabilities (SEND) sector.

2.2 No Guarantee of Results: While the Membership Hub provides guidance and resources, success in SEND-related matters depends on numerous external factors. Therefore, the Service Provider makes no guarantee of any specific outcomes as a result of using the Membership Hub.

2.3 Independent Use: The Membership Hub is a self-guided service. Resources are designed for independent use and are not a substitute for full advocacy, personalised case management, or legal advice. For one-on-one support or legal guidance, separate services are available.


3. MEMBERSHIP FEES AND PAYMENTS


3.1 Subscription Basis: Membership to the SENDHelp Membership Hub is on a subscription basis, billed monthly.

3.2 Minimum Commitment: There is a minimum commitment of three months. After the initial three months, you may cancel your membership at any time.

3.3 Fixed Subscription Rate: The subscription rate is fixed at the rate applicable at the time of your initial membership and will not increase for you, even if general membership fees increase for new members in the future.

3.4 Payment Processing: Payments are processed securely through Stripe or PayPal, depending on your selection at checkout.

3.5 Non-Refundable Fees: All membership fees are final and non-refundable once payment is processed, including instances where you choose to cancel before the end of a billing cycle.


4. CANCELLATION AND TERMINATION


4.1 Cancellation Policy: Membership can be canceled anytime after the initial three-month period. Upon cancellation, access to the Membership Hub will continue until the end of the current billing period.

4.2 Termination by the Service Provider: The Service Provider reserves the right to terminate your membership immediately if there is a breach of these Terms and Conditions, misuse of resources, or failure to adhere to payment obligations.

4.3 Effect of Termination: Upon termination of membership, whether by the Client or Service Provider, all access to the Membership Hub and associated resources will cease at the end of the billing cycle.


5. CLIENT’S RESPONSIBILITIES


5.1 Non-Transferable Membership: Membership to the SENDHelp Membership Hub is for personal use only and may not be shared, transferred, or assigned to any third party.

5.2 Use of Resources: All resources, templates, guides, and materials provided within the Membership Hub are for personal use only. Members are prohibited from reproducing, distributing, or sharing these materials outside of their personal use.

5.3 Accurate Information: The Client is responsible for providing accurate and current information during the membership registration process and updating their account details as needed.

5.4 Compliance with Terms: The Client agrees to comply with these Terms and Conditions and any other guidelines or rules posted within the Membership Hub.


6. INTELLECTUAL PROPERTY


6.1 Ownership of Materials: All materials, content, resources, and intellectual property within the Membership Hub remain the exclusive property of the Service Provider. No ownership rights are transferred to the Client by virtue of membership.

6.2 Restrictions on Use: The Client is granted a limited, revocable license to access and use the resources for personal, non-commercial purposes only. Any unauthorised use, reproduction, distribution, or modification of Membership Hub materials is strictly prohibited.


7. LIABILITY AND DISCLAIMERS


7.1 No Liability for Outcomes: The Service Provider is not liable for any outcomes resulting from the use of the Membership Hub’s resources. All information is provided for guidance purposes, and the Client uses these resources at their own discretion and risk.

7.2 No Warranty: The Service Provider makes no warranties or representations regarding the accuracy, completeness, or suitability of the resources provided in the Membership Hub for any particular purpose.

7.3 Indemnity: The Client agrees to indemnify and hold harmless the Service Provider from any claims, liabilities, damages, or expenses arising from their use of the Membership Hub, including any unauthorised use of materials.


8. PRIVACY AND DATA PROTECTION


8.1 Data Collection: The Service Provider collects and processes personal data in accordance with GDPR and our Privacy Policy, which is available on our website.

8.2 Use of Personal Information: The Client’s personal data will be used exclusively to manage their Membership Hub account, communicate updates, and provide customer support.


9. AMENDMENTS TO TERMS


9.1 Right to Amend: The Service Provider reserves the right to amend these Terms and Conditions at any time. Clients will be notified of significant changes via email or through notices posted within the Membership Hub.

9.2 Acceptance of Amendments: Continued use of the Membership Hub after changes to these Terms and Conditions have been posted constitutes acceptance of the amended Terms.


10. COMPLAINTS AND DISPUTE RESOLUTION


10.1 Complaints: Any complaints or concerns regarding the Membership Hub can be directed to the Service Provider at hello@sendhelp-uk.com. We are committed to resolving complaints in a timely and effective manner.

10.2 Dispute Resolution: In the event of a dispute arising from these Terms, both Parties agree to attempt informal resolution before pursuing further legal action.


11. REFUND POLICY


No Refunds: All membership fees are final and non-refundable, including instances where the Client cancels before the end of a billing cycle. By completing payment, the Client acknowledges and agrees to this no-refund policy.

13. GOVERNING LAW AND JURISDICTION


13.1 Jurisdiction: These Terms and Conditions shall be governed by and construed in accordance with English law, and the courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms.
